Terms of Service

Draft placeholderVersion 0.3 draftRequires legal review before approval

Last updated 2026-10-13 · Effective from not yet in force

This draft describes the proposed Service. It has not been reviewed by a lawyer and is not an approved policy. Points marked “Review” need confirmation before approval. Paid checkout cannot open until these Terms, the Billing Terms, the Refund Policy, the Privacy Policy and the Data Processing Agreement are approved.

01Who we are and what these Terms cover

These terms of service (the “Terms”) govern use of the LexSalim website at lexsalim.com and the LexSalim application and related services (together the “Service”). The Service is provided by THYNKR SYSTEMS LTD, a company registered in England and Wales under number 15306717, with its registered office at Office 2, 1st Floor, 73 Station Passage, London E18 1JL, United Kingdom (“we”, “us”, “our”). Notices may be sent to [email protected].

By creating an account, subscribing to a plan or otherwise using the Service you agree to these Terms, the Subscription and Billing Terms, the Acceptable Use Policy and the AI Use and Limitations statement, which form part of these Terms. If you use the Service on behalf of an organisation you confirm that you are authorised to bind it, and “you” includes that organisation.

Our Privacy Policy explains how we handle personal data. Where an organisation places personal data in the Service, the Data Processing Agreement applies.

02Nature of the Service

LexSalim is software that helps you organise, understand and prepare legal and financial matters with AI assistance. We are not a law firm, a solicitors’ practice, an accountancy practice, a tax agent or a regulated adviser. Nothing in the Service is legal, tax, accounting or financial advice, and using the Service does not create a solicitor-client, accountant-client or other professional relationship with us. The Legal AI Disclaimer and Accountancy AI Disclaimer set out these limits in more detail.

Output produced with AI assistance is a starting point for your own review and, where appropriate, review by a qualified professional. We do not guarantee that any output is complete, accurate or suitable for a particular purpose, and we do not guarantee any outcome in any matter.

03Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract. You must provide accurate account information and keep it up to date. Sign-in uses a one-time code sent to your verified email address; you are responsible for keeping that mailbox secure, for enabling an authenticator app where your organisation requires it, and for all activity under your account. Tell us promptly at [email protected] if you believe your account has been compromised.

Accounts may be created only when registration is open. During early access, accounts are created by invitation. Review: confirm whether a minimum age of 18 or 16 applies for consumer accounts in each market

04Organisations, workspaces and cases

Cases belong to one organisation workspace. Access to a case is granted explicitly by its members; membership of an organisation does not by itself grant access to its cases. The organisation owner and administrators are responsible for who they invite, for the roles they assign, and for the content their members add. When a member leaves an organisation, their access to its cases ends; the organisation keeps the content.

05Plans, fees and payment

The Service is offered on the plans described on the pricing page and in the Subscription and Billing Terms. Published prices for the United Kingdom are stated in pounds sterling per workspace per month. Price books for other regions are published separately when approved and are never derived by converting the UK price.

Paid checkout is not yet open. Until checkout opens no fee is charged and no payment details are collected. When checkout opens, payment is taken by our payment processor through its hosted checkout, and your subscription starts only when the processor confirms payment to the Service. The Subscription and Billing Terms govern renewal, changes of plan, price changes, taxes and failed payments; the Refund and Cancellation Policy governs cancellation and refunds.

06AI assistance and human review

The Service uses AI models to extract text from documents, summarise them, extract facts, answer questions about the documents in a case, and draft notes, letters and schedules. Findings and drafts are proposals until a person confirms them. You are responsible for reviewing output before relying on it or sending it to anyone. The Service does not send correspondence, file documents, make submissions to any court, authority or regulator, or make decisions on your behalf.

07Your content and licence to us

You keep ownership of the documents and information you upload or create in the Service (“Customer Content”). You grant us a non-exclusive, worldwide licence to host, store, copy, process, transmit and display Customer Content solely to provide, secure and support the Service, including processing by the sub-processors listed in the sub-processor disclosure. Customer Content is not used to train shared or third-party models.

You confirm that you have the right to upload Customer Content, including any personal data about third parties it contains, and that your use of the Service complies with applicable law, court rules, professional conduct rules and any confidentiality obligations you owe. You are responsible for obtaining any consents or lawful basis needed to process third-party personal data.

08Acceptable use

You must use the Service in accordance with the Acceptable Use Policy. In summary, you must not use the Service to break the law, infringe others’ rights, upload malicious code, attempt to access other customers’ data, circumvent usage limits or security controls, scrape or bulk-export sources in breach of their terms, or present AI output as professional advice to third parties without appropriate review and disclosure.

09Jurisdiction coverage and feature status

The Service labels each capability as Core, Early access or Planned. Jurisdiction-specific features, including legal research packs, templates and tax or VAT assistance, are released progressively and only for the jurisdictions stated in the Service. Where a feature is marked Planned or Early access it may be incomplete, limited or unavailable, and we may change or withdraw it. Do not assume coverage of any law, regulation, court rule or tax rule unless the Service states that it is available for your jurisdiction.

10Our intellectual property

The Service, including its software, design, templates, documentation and the LexSalim name and marks, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal purposes during your subscription. You must not copy, modify, reverse-engineer, resell or create derivative works of the Service except as permitted by law. Feedback you give us may be used without obligation to you.

11Third-party services and sources

The Service relies on third-party providers for hosting, email, payments and AI models. Where the Service refers to public or licensed sources (for example legislation or official guidance), those sources remain subject to their own terms and licences, and the Service presents them with references so that you can check the original. We are not responsible for the content of third-party sources.

12Availability, support and changes

We aim to keep the Service available continuously but do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance, security or legal reasons, and we will give reasonable notice where practical. We may change, add or withdraw features, including during early access, and will give notice of material changes that reduce the functionality of a paid plan. Support is provided by email as described for your plan. Review: decide whether any service-level commitment (uptime, response times) is offered on Practice or Enterprise plans

13Suspension, termination and export

You may close your account or cancel your subscription at any time as described in the Refund and Cancellation Policy. We may suspend or terminate your access if you materially breach these Terms, if required by law, if your payment fails and is not remedied within the grace period, or if continued use would create a security or legal risk. Where reasonable we will warn you first.

After closure you may export your cases for 30 days before deletion in line with the retention schedule in the Privacy Policy, unless we are required to retain data for longer. Review: confirm the 30-day export window and any charge for assisted export

14Warranties and disclaimers

We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, and to the extent permitted by law, the Service is provided “as is” and we exclude all other warranties, conditions and terms, whether express or implied, including fitness for a particular purpose and non-infringement. In particular we do not warrant that AI output will be accurate, complete, current or appropriate for any matter.

If you are a consumer, nothing in these Terms affects your statutory rights, including rights under the Consumer Rights Act 2015 in the United Kingdom. Review: confirm consumer wording for US states and Canadian provinces where consumer plans are sold

15Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.

Subject to that, we are not liable for loss arising from reliance on AI output without review, for loss of profit, business, contracts, goodwill or anticipated savings, for loss or corruption of data not caused by our breach, or for any indirect or consequential loss.

Subject to that, our total liability to you in any twelve-month period is limited to the fees you paid for the Service in that period. Review: set liability caps per plan tier (Starter, Professional, Practice) and whether Enterprise caps are negotiated; confirm a nominal cap for free or early-access use

16Your responsibility for Customer Content

If you are a business customer you agree to compensate us for losses, claims and costs arising from Customer Content you upload, from your breach of the Acceptable Use Policy, or from your use of AI output in breach of professional or legal obligations. This clause does not apply to consumers. Review: confirm indemnity scope for business customers in each market

17Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the Service. If you do not accept a material change you may cancel before it takes effect. Continued use after the effective date is acceptance of the updated Terms. The version and effective date are shown at the top of this page.

18Governing law, disputes and contact

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections in your country or state of residence that cannot be excluded by agreement. If you are a consumer resident in the United Kingdom, the European Union, the United States or Canada you may be entitled to bring proceedings in your local courts. Review: confirm dispute-resolution approach for US (arbitration or not; class-action waiver) and Canada (Quebec consumer rules) with counsel before any sale in those markets
